3 PENGERTIAN USAHA DAGANG Usaha dagang adalah adalah kegiatan membeli dan menjual kembali barang atau jasa dengan tujuan mencari keuntungan termasuk menjadi perantara dari kegiatan tersebut. Di dalam hukum perusahaan yang merupakan bagian dari hukum dagang, maka Usaha Dagang (UD) atau Perusahaan Dagang (PD) memang tidak disyaratkan harus menjadi suatu Badan Hukum. Atau UD/PD bukanlah suatu Badan hukum namun demikian bentuk perusahaan ini telah banyak diterima oleh dunia perdagangan di Indonesia, bentuk badan ini tercipta dalam suasana hukum perdata untuk menjalankan suatu usaha. Bentuk UD/PD lahir atau dibentuk atas dasar kehendak (sendiri dari) seorang pengusaha, yang mempunyai cukup modal untuk berusaha dalam bidang perdagangan, dimana dia sudah merasa ahli atau berpengalaman.

4 PENGERTIAN FIRMA Secara etimologi kata Firma berasal dari bahasa Belanda, yaitu Vennootschap Onder Firma yang berati perserikatan dagang antara beberapa perusahaan. Istilah Firma biasanya disingkat dengan Fa.Vennootschap Onder Firma Firma suatu bentuk persekutuan badan usaha untuk menjalankan dan mengembangkan usaha antara dua orang atau lebih dengan nama usaha bersama. Setiap anggota pada badan usaha firma memiliki tanggung jawab penuh atas perusahaan sehingga modal untuk mendirikan badan usaha firma juga berasal dari patungan para anggotanya.badan usaha Baik keuntungan maupun kerugian yang dialami badan usaha firma menjadi tanggungan setiap anggota yang tergabung dalam firma. Persekutuan firma bukan merupakan badan hukum karena tidak memenuhi syarat untuk menjadi badan hukum.

9 Jenis Usaha Dagang Berdasarkan Produk Yang Diperdayakan Berdasarkan Macam Konsumen Yang Terlibat Perusahaan Dagang Barang Produksi : Perusahaan yang memperdagangkan produk berupa bahan baku. Contoh : Kayu gelondongan dan mesin bubut. Perusahaan Dagang Besar (Wholesaler) : Perusahaan yang secara langsung membeli produk dari pabrik dalam jumlah besar dan dijual dalam volume yang besar pula. Contoh : Pedagang grosis Perusahaan Dagang Barang Jadi : Perusahaan yang memperdagangkan produk akhir dari barang yang siap dikonsumsi. Contyoh : ransel, pakaian, kulkas, dll. Perusahaan Dagang Perantara (Middleman) : Perusahaan yang membeli dalam partyai besar untuk dijual kembali ke pengecer dalam jumlah sedang. Contoh : Pedagang subgrosir Perusahaan Dagang Pengecer : Perusahaan yang langsung berhubungan dengan konsumen. Contyoh : Warung, kios, dan swalayan. 1 5 4 3 2

Contoh : 1.Firma Hukum 2.Firma Akuntansi 3.Konsultasi Bisnis; dll Firma Umum (General Partnership) Firma yang anggotanya memiliki kekuasaan yang tak terbatas. Anggota firma umum bertanggungjawab atas berjalannya operasional perusahaan, baik ityu kewajiban hutyang dan piutang Firma Terbatas (Limited Partnership) Firma yang anggotana memiliki kekuasaan terbatas atas perusahaan Contoh : 1.Firma Indo Eternity 2.Firma Multi Marketing 3.Firma Panghudi Luhur 4.Firma Sumber Rezeki

11 PERIZINAN UNTUK MENDAPATKAN PERIZINA MENDIRIKAN SEBUAH BISNIS IALAH MENDAFTAR KE DINAS PERDAGANGAN DI KABUPATEN/KOTA MASING MASING UNTUK MENDAPATKAN SURAT IZIN USAHA PERDAGANGAN (SIUP). JENIS SIUP DIBAGI BERDASARKAN SKALA USAHA: 1)SIUP Besar: untuk perusahaan dengan modal di atas Rp500.000.000 2) SIUP Menengah: untuk perusahaan dengan modal berkisar antara Rp200.000.000 – Rp500.000.000 3) SIUP Kecil: untuk perusahaan dengan modal dan kekayaan bersih pemilik lebih kecil atau sama dengan Rp200.000.000

12 Dasar Hukum UD & Firma Bentuk UD/PD lahir atau dibentuk atas das ar kehendak (sendiri dari) seorang pengus aha, yang mempunyai cukup modal untuk berusaha dalam bidang perdagangan, dim ana dia sudah merasa ahli atau berpengal aman. Umumnya bila orang ingin mendirikan P.D., maka orang tersebut akan : 1.Mengajukan permohonan untuk memint a izin usaha kepada Kepala Kantor Wil ayah Departemen Perindustrian dan Pe rdagangan setempat; 2.Mengajukan permohonan untuk memint a izin tempat usaha kepada Pemerintah Daerah setempat. Firma harus didirikan dengan akta otentik ya ng dibuat di muka notaris. Akta Pendirian Fir ma harus didaftarkan di Kepaniteraan Penga dilan Negeri yang daerah hukumnya meliputi tempat kedudukan Firma yang bersangkutan. Setelah itu akta pendirian harus diumumkan dalam Berita Negara atau Tambahan Berita Negara. Pendirian, pengaturan dan pembubaran Firm a diatur di dalam Kitab Undang ‐ Undang Huk um Dagang (KUHD) (Wetboek van Koophan del voor Indonesie) S.1847-23. Hukum meng enai Firma terdapat dalam bagian 2 dalam K UHD dengan judul “Perseroan Firma Dan Pe rseroan Dengan Cara meminjamkan Uang At au Disebut Perseroan Komanditer” yang dim ulai dari pasal 16 sampai 35.
